Terms of use

1. Acceptance

By using the website you agree to these terms. Services for businesses are also governed by the proposal or contract signed with each customer. If they conflict, the contract prevails.

Sonora and Trampeiro have their own terms of use, published on each product’s website.

2. The website

The website presents MVN and its products. We may change its content at any time. Links to third-party websites are offered for convenience; we are not responsible for their content.

3. Services for businesses

The AI agents on WhatsApp, custom software and consulting are business-to-business (B2B) services. Scope, price, timelines, payment terms and service level are set in each customer’s proposal or contract.

4. Business customer responsibilities

A business that hires an AI agent agrees to:

• tell its own customers that they are talking to a virtual assistant and that a person may continue the conversation;
• have a legal basis to process its customers’ data, as controller, and handle data subject requests;
• keep the knowledge base accurate and up to date, including products, list prices, lead times and terms;
• comply with the WhatsApp Business Terms of Service and Business Policy, Brazil’s Consumer Protection Code and the LGPD;
• keep the access and credentials it receives secure;
• pay the amounts agreed in the contract.

5. Acceptable use

MVN’s AI agents and other services may not be used for:

• bulk messaging, outbound marketing or any unsolicited message;
• activities that breach WhatsApp’s and Meta’s policies, including selling products and services they prohibit;
• deceiving people, such as denying being a virtual assistant when someone asks;
• collecting sensitive data or documents without need and without a legal basis;
• publishing content that is illegal, discriminatory, infringes third-party rights or incites violence;
• trying to bypass security, overload or reverse engineer our systems.

If we identify any of these uses, we may suspend the service immediately and notify the business customer.

6. Limits of artificial intelligence

AI agents can make mistakes or misread a message. That is why they answer only from the business’s knowledge base, never negotiate, never close a deal, never give a final price and never make promises beyond the knowledge base. Business decisions are always made by a person at the business customer, who should check the summaries before acting.

7. Availability

The services depend on third parties such as WhatsApp and AI and cloud providers. We work to keep them online but do not guarantee uninterrupted operation. Planned maintenance is announced in advance whenever possible.

8. Intellectual property

The software, instructions, tools and trademarks of MVN, Sonora and Trampeiro belong to MVN. The business customer keeps ownership of its own content and the data it provides, and authorizes us to use them only to provide the service.

9. Limitation of liability

To the extent permitted by law, MVN is not liable for indirect damages, lost profits, decisions made from AI replies without human review, or failures of third-party services. MVN’s total liability to a business customer is limited to the amounts it paid in the 12 months before the event. This limitation does not apply to willful misconduct or where the law does not allow it.

10. Suspension and termination

Either party may end the contract under its terms. We may suspend the service for breach of these terms, non-payment or security risk. When the contract ends, data is handled as described in the privacy policy.

11. Privacy

How we handle personal data is described in the privacy policy, which is part of these terms.

12. Changes

We may update these terms. The date at the top of the page shows the latest change. Significant changes are announced to business customers before they take effect.

13. Governing law and venue

These terms are governed by the laws of Brazil. The courts of Natal, Rio Grande do Norte, have jurisdiction over any dispute, except where the law guarantees another venue.
